BYLAWS OF THE LUBBOCK COUNTY REPUBLICAN EXECUTIVE COMMITTEE ARTICLE I - NAME The name of this organization shall be the Lubbock County Republican Executive Committee, hereinafter referred to as Executive Committee. ARTICLE II - PURPOSE AND CONDUCT Section 1 - Purpose:

To establish general operational policy of the Republican Party in Lubbock County, subject to the direction of the biennial county convention, Republican Party of Texas rules and the laws of the State of Texas; C. To represent the Republican Party of this county, state and nation by articulating the Party's positions as defined by its state and national Platform; D. To promote the candidates, chosen by the Party in its Primary Election, in the General (and any special) Election, and; Section 2 - Adherence to Laws: The Executive Committee is charged with the responsibility of observing all laws of the State of Texas and the United States of America in fulfilling its purposes. ARTICLE III - MEMBERS 1. The Executive Committee shall be composed of the County Chairman and each Precinct Chairman from the respective election precincts in the county, all of whom are to be elected biennially as provided in the Texas Election Code. Officers and Committee Chairmen, including the Vice-Chairman, Treasurer and Secretary, who are not Precinct Chairman, shall serve as ex-officio (non-voting) members of the Executive Committee. 2. To qualify to hold the office of Precinct Chairman or County Chairman; one must be a qualified voter residing within the bounds in which primary elections are held, one must have voted in the Republican Primary in the most recent, prior Primary Election. 3. Term of office shall be for two years, commencing on the Saturday following the date of the Runoff Primary election. 4. Any vacancy in the office of county chairman or precinct chairman shall be filled by the Executive Committee. A majority of the total Membership of the Executive Committee must participate in filling a vacancy and the person selected must receive a majority vote of those members participating in the selection. 5. The County Secretary shall report any existing vacancies on a quarterly basis. Vacancies may be filled by majority vote of members present at any properly called executive committee meeting. Notice of the consideration of such business must be properly given in the meeting announcement and agenda. Nominations shall be made from the floor. 6. If no majority of the total Membership of the Executive Committee is present for two consecutive meetings, at the third meeting the County Chairman may appoint, with a majority consent of those members present, an acting precinct-coordinator who will not be considered a voting-Member until a permanent precinct chairman is elected. ARTICLE IV - OFFICERS 1. Officers of the Executive Committee shall be the County Chairman, the Vice-Chairman (if the Chairman chooses to fill such office), Treasurer and Secretary. The Chairman shall appoint an acting Treasurer immediately upon assuming office to be confirmed at the first regular meeting of the Executive Committee. The Secretary shall be elected by the Executive Committee with nominations coming from the floor during its first regular meeting. The County Chairman may appoint a Vice-Chairman. Such an appointment shall be confirmed by the Executive Committee. 2. Term of office of the officers shall be concurrent with that of the Executive Committee except that in the event of a vacancy in the Office of County Chairman officers appointed by the County Chairman, at his sole-discretion, shall serve only until election of a new County Chairman. 3. A vacancy in the Office of County Chairman shall be filled in accordance with provisions of the Texas Election Code. A vacancy in the office of Secretary or Precinct Chairman shall be filled by the Executive Committee at its next regular meeting following notice of vacancy or at a special meeting called for that purpose. Nominations shall be made from the floor. 4. Duties of officers shall be those prescribed by the parliamentary authority adopted by the Executive Committee and by these bylaws:
ARTICLE V - MEETINGS 1. The Executive Committee shall meet at such times as required by the Texas Election Code. In any case, there shall be no fewer than one meeting held each calendar quarter. 2. In the year in which the Executive Committee is elected, the first regular quarterly meeting shall be an organizational meeting and should be held within forty-five (45) days following the date of the Primary Run-Off Election for the purpose of adopting bylaws, electing a Secretary, confirming a Treasurer, electing or confirming other officers, constituting standing committees and other business pertinent to organizing the Executive Committee. 3. The Executive Committee shall meet at the call of the Chairman, except that meetings may also be called by petition of one-third (1/3) of its membership to either the Chairman, Secretary or Vice-Chairman. 4. Not less than seven days notice shall be required for all meetings, except in the event of a stated emergency, in which case two (2) days' notice by personal contact of each member shall be deemed sufficient. (This does not relieve the requirement to provide longer periods of notice for the consideration of specific matters of business listed herein which contain such a requirement such as bylaw amendment (Article VIII). 5. A quorum for the conduct of business shall be subject to the Rules of the Republican Party of Texas. If the required quorum is not present at a statutory meeting, only statutorily required business may be transacted. A quorum for statutory meetings shall be those Members present. 6. Voting shall be by personal attendance only with no proxy voting being considered. ARTICLE VI - COMMITTEES 1. The County Chairman may appoint the following standing committees, as well as the chairman of each: Rules, Candidates and Finance. At least two Executive Committee members shall be appointed to each committee by the Chairman and shall be confirmed by the Executive Committee. 2. Duties of the Standing Committees:
3. The County Chairman may appoint such special committees as he deems necessary to assist him in carrying out the duties not specifically assigned to a standing committee. ARTICLE VII - PARLIAMENTARY AUTHORITY The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Executive Committee in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules promulgated by the Republican Party of Texas or any state or federal statute. ARTICLE VIII - AMENDMENT OF BYLAWS 1. Proposed amendment(s) shall be proposed and read as new business at a regular meeting of the Executive Committee and then mailed, with the existing bylaws, to each Member at least twenty-one (21) days prior to the next regularly scheduled Executive Committee meeting or special meeting called for the purpose of amending. Amendment(s) shall be by a two thirds (2/3) vote of the Members present and voting at a properly called meeting. No vote to adopt or reject proposed amendment(s) may be taken at the meeting in which such amendment(s) is initially proposed. 2.
The adoption of a set of bylaws by each new Executive Committee in its
first scheduled meeting shall not be considered an amendment to previous
bylaws. Such adoption is the creation of new bylaws for that Executive
Committee to operate under during its two-year term. |
